MİA Teknoloji's Merger with Lider Sistem Approved: Capital to Double

With the green light from the Capital Markets Board (SPK), tech giant MİA Teknoloji is embarking on a major transformation by incorporating Lider Sistem Teknolojileri into its structure, officially sealing a sectoral power move.

Power Play via Acquisition and Capital Surge

The company announced via KAP that the SPK, in its bulletin dated July 23, 2026, approved the acquisition of all assets and liabilities of the non-listed Lider Sistem. This transaction is not merely a merger but brings with it a massive capital increase that reinforces the company's financial backbone.
  • MİA Teknoloji's existing capital rises from 494 million TL to 986.5 million TL, following an increase of 492.5 million TL.
  • While Class A shares remain fixed at 65 million TL, Class B shares surge from 429 million TL to 921.5 million TL.
  • Partners of Lider Sistem will be issued MİA Teknoloji's Class B bearer shares at a share exchange ratio of 2.9316.
  • Share Exchange Ratio and Exit Rights Solidified

While the legal and financial framework of the merger process is being drawn, the rights of existing shareholders are also taken into account. In particular, the exit right price will serve as a critical reference point for stock performance in the coming period.
  • The exit right usage price is set at 38.48 TL per share with a nominal value of 1 TL.
  • This price was calculated based on the arithmetic average of the corrected weighted average prices over the one-month period preceding March 6, 2026.
  • The company will repurchase shares subject to exit rights and will apply no upper limit on the cost incurred by the company due to this right.
  • Markets typically view such acquisition transactions through the lens of 'operational efficiency' and 'scaling'. While this move by MİA Teknoloji, nearly doubling its capital, is positive for strengthening the balance sheet, it must be closely monitored whether this massive increase in Class B share ratios will create a dilution that could unsettle the market. The exit right price of 38.48 TL sends a strong signal regarding management's future expectations.
