The US Securities and Exchange Commission (SEC) has proposed an extensive overhaul of decades-old rules governing transfer agents, formally acknowledging the rising dominance of blockchain-based recordkeeping and tokenized securities in US financial markets.

Transitioning from Paper Certificates to Distributed Ledgers

This regulatory move represents a historic pivot toward modernizing financial infrastructure. The existing framework, largely unchanged since the late 1970s and early 1980s, was designed for an era of physical paper certificates and manual processes. The new proposal addresses key emerging dynamics:

■Integration of blockchain-native or "on-chain" transfer agents into the US market,

■Frameworks for tokenized fund administration and cross-chain interoperability,

■Enhanced standards for cybersecurity, operational resilience, and safeguarding investor records.

Strict Standards for Custody and Institutional Reporting

Beyond transfer agents, the SEC is driving a broader modernization campaign. According to an analysis by law firm Cahill Gordon & Reindel, the commission is on a clear mission to streamline its regulatory framework. If finalized, the proposed changes will implement:

■Stricter oversight on the use of third-party service providers and restrictive legends on securities,

■Clearer custody guidelines for investment advisers and companies holding digital assets under federal securities rules.
