SEC's Crypto Regulation: U.S. 'Safe Harbor' Move for Projects Under $5 Million

The U.S. Securities and Exchange Commission (SEC) has introduced the 'Crypto Asset Regulation' proposal to enhance compliance of crypto assets with federal securities laws. The proposal offers two exemptions under the 1933 Securities Act registration requirements: - The first exemption allows issuance of up to $5 million over a 4-year period.

  • ■The second exemption permits issuance of up to $75 million per 12-month period. In both cases, issuers must provide certain disclosures to investors and submit financial statements. SEC Chair Paul Atkins emphasized that the regulation aims to provide clear paths for capital raises for innovators. Additionally, issuers can qualify for a 'safe harbor' application if they meet specific management processes, exempting them from state-level registration and qualification requirements. The proposal is seen as a key component of the U.S. strategy to sustain innovation in crypto markets through a long-term regulatory framework.
