The U.S. Securities and Exchange Commission (SEC) has charted a new course for institutional crypto adoption by granting Franklin Templeton a pivotal regulatory exemption. The Commission announced it will not pursue enforcement action if the asset manager’s funds start investing cash in its own blockchain-based money market fund, signaling a significant softening in the stance towards tokenized securities.
Bypassing Physical Custody Rules: Breaking Regulatory Chains
In a move that redefines custodial standards, the SEC issued a no-action letter on Wednesday allowing Franklin Templeton Investor Services (FTIS) to act as the custodian for tokenized funds. This authorization permits the holding of private keys without the strict adherence to existing physical-custody rules that have historically hindered digital asset integration.
On-Chain Security Architecture and The 12 Critical Conditions
The regulatory greenlight comes with a specific framework designed to mitigate risks associated with digital asset management. The SEC outlined 12 conditions that Franklin Templeton must meet, focusing heavily on the integrity of the underlying blockchain infrastructure.
Managing $2.5 Billion in Digital Assets
As the fifth-largest tokenized asset manager according to RWA.xyz, Franklin Templeton currently oversees $2.5 billion in on-chain assets. This regulatory nod aligns with the firm's aggressive expansion strategy, which included the launch of a dedicated crypto division and the acquisition of crypto asset manager 250 Digital in June.
From a DeFi and smart contract perspective, this is a watershed moment. By allowing FTIS to hold private keys outside of traditional physical custody rules, the SEC is effectively recognizing the technical nuances of blockchain infrastructure. This validates the security models of non-custodial wallets interacting with traditional securities, paving the way for massive liquidity inflows into on-chain government money markets.
