Intetra Technology Hits Borsa Istanbul: A 2.1 Billion TL Tech Expansion

Intetra Teknoloji ve Bilişim Hizmetleri A.Ş. is initiating its initial public offering (IPO) as a pivotal component of its growth strategy. The company will collect demands on August 26-27, 2026, aiming to crown its position in the technology ecosystem with a significant financial expansion.

Strategic Expansion of Capital Structure

Through the IPO, the company plans to increase its capital from 130 million TL to 160 million TL, ensuring a fresh influx of capital from the market. The offering is structured as follows:

■Fixed price per share: 53.60 TL

■Total shares to be offered: 40 million TL nominal value

■Total IPO size: Approximately 2.144 billion TL

■Percentage of company capital: 25%

Partner Sale and Resource Management

The IPO process is being conducted via a hybrid model that includes both new share issuance and an exit strategy for existing partners. 10 million TL nominal value of Group B shares belonging to Mehmet Ömerbeyoğlu will be offered as a partner sale, while the remaining 30 million TL will be realized through capital increase.

Targeted Liquidity Allocation

Managed by Bulls Yatırım Menkul Değerler A.Ş., the net proceeds from the operation will be utilized across three primary axes to optimize financial health:

■Investment Financing: The largest portion of the revenue will be allocated to investments that enhance the company's technological infrastructure and capacity.

■Operational Support: Working capital requirements will be met to ensure the sustainability of daily operations.

■Debt Management: Financial debts will be settled to strengthen the balance sheet structure.

In the IPOs of technology firms, the ratio of proceeds allocated to debt repayment versus R&D and investment is critical for long-term valuation. While Intetra's priority on investment is a positive signal, the proportion of debt repayment raises questions about current leverage levels. Given the high multiples in the IT sector, a well-executed growth story could turn this into an attractive opportunity for investors.
